PERFORMANCE LICENSE AGREEMENT

A Gingerbread Christmas Wish

Please read these terms before purchasing a performance license for A Gingerbread Christmas Wish. Your final license will identify your organization, venue, approved performance dates, number of performances, and any approved special permissions.

1. Grant of Rights

Subject to payment of all applicable fees and compliance with this Agreement, BYC Books Theatricals (“BYC”) grants the Licensee a limited, nonexclusive, nontransferable, nonsublicensable license to present the authorized stage version of A Gingerbread Christmas Wish live and in person only for the approved Licensee, at the approved venue(s), on the approved date(s), and for the number of performances stated above. No rights are granted except those expressly stated in this Agreement.

2. What Constitutes a Performance

For purposes of this Agreement, a performance is a presentation of the play, in whole or substantial part, before an audience other than the cast, crew, directors, instructors, and production personnel actively participating in a closed rehearsal or classroom study. Invited-parent or friends-and-family presentations, previews, assemblies, fundraisers, matinees, and similar audience presentations count as performances whether or not admission is charged.

3. Definitions; Qualifying Production

“Qualifying Production” means a U.S.-based school, church, homeschool group, youth organization, community organization, nonprofit organization, or amateur theatrical organization presenting the work on a nonprofessional basis and with an audience capacity not exceeding 500 persons per performance, subject to BYC approval for standard pricing. A nonprofit organization may include an organization recognized under Section 501(c)(3) of the Internal Revenue Code, but 501(c)(3) status alone does not determine eligibility. BYC may determine the applicable licensing category based on the nature, scale, audience capacity, and commercial character of the production rather than tax status alone. Productions exceeding 500 persons per performance require BYC review and a custom quote. Commercial, professional, and for-profit productions require BYC review and a custom quote regardless of audience capacity.

4. Scripts and Production Materials

Purchase or possession of the Acting Edition, Director’s Production Guide, book, or other BYC materials does not grant performance rights. The Licensee shall not photocopy, scan, photograph, upload, electronically reproduce, distribute, or share the Acting Edition or other copyrighted materials except where BYC expressly identifies a particular form or page as reproducible for production use.

5. Permitted Directing and Technical Choices

The Licensee may make reasonable production choices involving casting, with flexibility as expressly described in the script, as well as blocking, scenery, costumes, props, lighting, sound, and reasonable practical staging decisions consistent with the authorized work.

6. Changes and Adaptations Requiring Permission

Without BYC’s advance written permission, the Licensee shall not rewrite dialogue; add or delete scenes; make any cuts; materially alter characters, relationships, story sequence, setting, ending, or message; translate the work; musicalize it; create a film or video adaptation; publish or distribute a modified script; or create another adaptation or derivative work.

7. Accessibility and Accommodation Requests

If an accommodation would change text, characterization, structure, or another protected element of the work, the Licensee shall contact BYC at least fourteen (14) calendar days before the first licensed performance so the accommodation can be addressed appropriately.

8. Recording, Filming, Livestreaming, Broadcasting and Digital Distribution

This Agreement grants live, in-person performance rights only. Unless BYC gives advance written permission specifically identifying the permitted use, neither the Licensee nor any cast member, crew member, staff member, parent, relative, guest, audience member, contractor, photographer, videographer, or other person is authorized to audio record, video record, film, livestream, broadcast, upload, post, distribute, transmit, sell, share, or otherwise reproduce the performance in whole or in part. No archival, cast/family, classroom, promotional-video, on-demand, social-media, or public-platform recording right is implied.

9. Still Photography

Still photography may be permitted subject to the Licensee’s and venue’s own policies, provided the photography does not itself reproduce or distribute the dramatic work and does not violate any separate rights of performers or third parties. BYC’s permission to take still photographs does not include permission to record audio or video.

10. Audience Notice and Reasonable Enforcement

The Licensee agrees to take reasonable steps to communicate the no-recording/no-livestreaming restriction to attendees, including use of BYC-provided signage and/or a pre-show announcement where practical. The Licensee is not deemed to guarantee that no attendee will secretly violate the rule, but the Licensee shall not authorize, encourage, or knowingly facilitate prohibited recording or transmission.

11. Dates, Venue, Capacity, Ticket Price, and Number of Performances

The license is valid only for the approved Licensee, venue(s), dates, audience-capacity category, ticket-price information, and number of performances. Additional performances shall be authorized and paid for. Date, venue, capacity, ticket price, or other material production changes shall be reported to BYC. A performance shall not be characterized as a rehearsal, preview, assembly, fundraiser, or other event in order to avoid licensing when it otherwise meets the definition of a performance.

12. Accessibility Notice Period

Requests for an accommodation that would affect protected elements of the work shall be submitted to BYC at least fourteen (14) calendar days before the first licensed performance.

13. Music, Sound Recordings, Images, and Other Third-Party Rights

The script allows the character Mello to be represented as a live or prerecorded voice. This permission does not extend to third-party music, sound recordings, images, projections, or other protected material. The Licensee shall be solely responsible for obtaining any permissions, licenses, releases, or other rights required for third-party material used in its production.

 

14. BYC Promotional Assets

BYC may provide approved title treatments, descriptions, graphics, credit language, and other promotional assets for the licensed production. These materials remain subject to BYC’s ownership and usage restrictions.

15. Required Credit

The Licensee shall use the production credit supplied by BYC in programs and applicable production publicity. Such assets shall be used only to promote the licensed production and shall not be repurposed for unrelated events. Use of BYC intellectual property in publicity does not grant merchandising or other commercial rights.

 

16. Merchandise and Other Commercial Uses

The Licensee shall not manufacture, sell, distribute, or authorize merchandise or derivative products based on A Gingerbread Christmas Wish, its characters, artwork, logos, story elements, or other BYC intellectual property without having first requested and been granted separate written permission.

 

17. Digital, Virtual, and Artificial Intelligence Uses

The Licensee shall not upload or provide the script, Director’s Production Guide, or other BYC copyrighted materials to artificial-intelligence systems, generative-AI services, virtual-production systems, digital adaptation tools, public repositories, or other services for the purpose of generating, reproducing, adapting, transforming, distributing, or creating derivative material from the work, unless BYC has granted advance written permission for the specific use. This provision does not expand any recording, streaming, adaptation, or digital-distribution right.

 

18. Application Accuracy and Production Category

The Licensee shall provide accurate and complete application information. BYC may determine the correct applicable licensing category based on the nature, scale, audience capacity, and commercial character of the production rather than tax status alone. The category determined by BYC may differ from the category selected by the Licensee under Part I, Simple Customer Flow, No. 1, “Choose Your Production Type.”

19. Production Changes and Reporting

The Licensee shall report date, venue, capacity, ticket price, or other material production changes to BYC. Changes outside ordinary directing and technical choices remain subject to the advance-written-permission requirements of this Agreement.

20. Rescheduling

BYC’s standard policy is to permit one complimentary rescheduling within 12 months of the originally licensed first performance when the same Licensee is producing the play and the number of performances does not increase, subject to notice to and confirmation by BYC. 21. Cancellation

BYC’s standard policy is that a canceled performance license fee becomes a licensing credit for the same Licensee, usable within 12 months, subject to applicable law, and is not eligible for refund.

22. Nontransferability; No Sublicensing; No Exclusivity

The Licensee shall not assign, sell, share, transfer, or sublicense the license to another person or organization. Unless BYC expressly agrees otherwise in writing, the license is nonexclusive and does not prevent BYC from licensing other productions in the same city, region, or time period.

23. Commercial, Professional, and International Productions

Standard community/nonprofit pricing applies only to Qualifying U.S. Productions approved for that category under Section 3. Commercial, professional, for-profit, and international productions require separate review and may be subject to different fees and terms.

24. Ownership and Reservation of Rights

A Gingerbread Christmas Wish and all associated copyrighted material and intellectual property remain the property of their respective rights holder(s). BYC retains all rights not expressly granted in this Agreement, including without limitation publishing, recording, film, television, streaming, broadcast, adaptation, translation, merchandising, derivative-work, and other rights.

25. Breach / Unauthorized Use

Unauthorized performances, recordings, transmissions, adaptations, copying, distribution, merchandising, or other uses are outside the scope of this license. BYC reserves all rights and remedies available under the Agreement and applicable law.

​

26. Entire Agreement; Written Permissions

The final executed license, together with any written BYC-approved addendum or special permission, constitutes the parties’ authorization for the licensed production. No requested exception is approved unless BYC confirms it in writing.
